These terms and conditions ("Terms") govern your use of the AgentBandhu website and application (the "Service"), operated by Metazen Labs Pvt. Ltd.("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and a licensed or authorised insurance agent or intermediary, or otherwise legally entitled to contact the customers you manage. You agree to provide accurate information and to keep it current.

2. The Service

AgentBandhu is a WhatsApp-based customer relationship tool for insurance agents. It includes automated birthday and renewal messaging, a two-way inbox, customer and policy records, and a prepaid wallet used to pay for messaging. Features may change as the Service evolves.

3. Your account

You are responsible for activity under your account and for keeping your credentials confidential. Notify us promptly of any unauthorised use. We may suspend access where we reasonably suspect a security or policy breach.

4. Acceptable use

You agree not to use the Service to:

• send unsolicited, misleading, or unlawful messages, or breach anti-spam norms;
• violate the Meta and WhatsApp Business policies, including messaging and template rules;
• breach IRDAI regulations or make misleading statements about insurance products;
• infringe any person's privacy or intellectual property rights;
• upload malware, attempt to breach security, or disrupt the Service.

We may suspend or terminate accounts that violate these rules, and we may be required to act on instructions from Meta or our messaging provider.

5. Customer data and consent

You confirm that you have a lawful basis and any required consent to contact the customers you add, and that you are the Data Fiduciary for those records. You will use the Service in line with the Digital Personal Data Protection Act, 2023. We act as your Data Processor for that data, as described in our privacy policy. You agree to indemnify us against claims arising from messaging customers without a lawful basis.

6. WhatsApp and messaging

Messaging is delivered through our licensed WhatsApp Business Solution Provider and the Meta WhatsApp Business Platform. Template approval, per-conversation charges, and quality ratings are governed by Meta. We are not responsible for delays, rejections, or account actions taken by Meta or the messaging provider.

7. Fees, subscription, and wallet

Subscription fees and wallet top-ups are charged in advance through our payment gateway, Razorpay, at the prices shown at the time of purchase, plus applicable taxes such as GST. Messaging is paid from your prepaid wallet at published rates, which may include per-conversation charges set by Meta. Subscriptions renew automatically unless cancelled. Cancellation, refunds, and wallet handling are governed by our cancellation & refund policy.

8. Intellectual property

We own the Service, including its software, design, and trademarks. You retain ownership of the data you add. You grant us a limited licence to host and process that data solely to operate the Service for you.

9. Availability and warranties

We work to keep the Service available but provide it on an "as is" and "as available" basis, without warranties of any kind to the maximum extent permitted by law. We may perform maintenance and may modify or discontinue features with reasonable notice.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential losses, or for lost profits or goodwill. Our total liability for any claim is limited to the fees you paid to us for the Service in the three (3) months before the event giving rise to the claim.

11. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law or by Meta. On termination, your right to use the Service ends, and data is handled per our privacy policy.

12. Governing law and disputes

These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction, subject to any binding arbitration under the Arbitration and Conciliation Act, 1996, seated in Mumbai. We may update these Terms; material changes will be notified in the app or by email, and the "Last updated" date above will change.
